Service
Target delivery: 2027
Founder Priority Seats reserve priority allocation only. No immediate product delivery. No equity. No security. No guaranteed financial return.
Presale reservation
A Phase Zero Founder Priority Seat is a presale reservation and priority allocation for future access. It is not immediate product delivery, not a live production deployment, and not a guarantee that any specific feature, interface, integration, or module will be available at purchase time.
Target delivery
Target delivery: 2027. Access, onboarding, and product availability may be staged, limited, modified, delayed, or conditioned on technical readiness, compliance review, or operational capacity.
Seat scope
The seat grants a priority position for the selected Phase Zero tier: Demiurge, ÆSIR, or Yggdrasil. Seat names, tier descriptions, availability, quantities, benefits, and onboarding process may be updated as the platform matures.
No equity or financial instrument
A Founder Priority Seat is not equity, stock, debt, token, security, investment contract, ownership interest, voting right, dividend right, profit share, or promise of financial return in NOUS Industries or any affiliated entity.
No resale or transfer
Seats are personal or entity-specific and may not be sold, assigned, transferred, sublicensed, or resold without prior written approval from NOUS Industries.
Payment finality
All purchases are final except where a refund is required by applicable law or expressly approved in writing by NOUS Industries. Buyer agrees not to initiate fraudulent, abusive, or bad-faith chargebacks.
Eligibility and compliance
NOUS Industries may refuse, pause, cancel, or revoke access where required for sanctions, export controls, fraud prevention, abuse, legal compliance, security, or platform integrity. Additional onboarding checks may be required.
Experimental status
Phase Zero materials, software, demos, research, interfaces, documentation, and infrastructure are provided as experimental, pre-release, and as available. They may contain errors, omissions, instability, or incomplete behavior.
No warranties
To the fullest extent permitted by law, NOUS Industries disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, uninterrupted availability, data accuracy, profitability, or suitability for production use.
Intellectual property
All names, systems, code, architecture, designs, documents, research, interfaces, models, marks, and related materials remain the property of NOUS Industries or its licensors. No ownership transfers through a seat purchase.
Restrictions
Buyer may not reverse engineer, decompile, disassemble, scrape, clone, benchmark for competitive use, bypass controls, extract source code, remove notices, or use access to build a competing product or service.
Confidentiality
Non-public Phase Zero materials, access credentials, demos, technical details, pricing exceptions, roadmap information, and onboarding communications are confidential unless NOUS Industries authorizes disclosure in writing.
Acceptable use
Buyer may not use NOUS systems for unlawful activity, abuse, infringement, malware, unauthorized surveillance, credential theft, spam, harassment, security attacks, or any use that harms NOUS Industries, users, infrastructure, or third parties.
Data and integrations
Buyer is responsible for the legality, accuracy, permissions, security, and backup of any data, credentials, systems, or third-party services connected to NOUS. NOUS Industries is not responsible for buyer-side systems or third-party failures.
Limitation of liability
To the fullest extent permitted by law, NOUS Industries will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost profit, lost revenue, lost data, business interruption, or reputational damages.
Liability cap
To the fullest extent permitted by law, NOUS Industries' total aggregate liability for any claim relating to a Phase Zero seat will not exceed the amount actually paid by buyer for that seat.
Indemnity
Buyer agrees to defend, indemnify, and hold harmless NOUS Industries from claims, damages, liabilities, losses, costs, and expenses arising from buyer's use, misuse, integrations, data, breach of these Terms, or violation of law.
Changes
NOUS Industries may update these Terms, product scope, pricing, access mechanics, seat benefits, and roadmap. Material updates will be reflected on this page or communicated through reasonable channels.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes must be resolved individually through binding arbitration, unless applicable law requires otherwise. Class, collective, and representative actions are waived to the fullest extent permitted by law.
